1. Parties, Definitions and Acceptance

1.1. These Terms & Conditions (the “Agreement”) apply to all orders placed through the Floractive USA website floractive-usa.com. The “Company”, “We,” “Us” or “Our” refers to Floractive USA, its affiliates or assigns. The “Customer,” “You” or “Your” refers to any individual or entity making a purchase via the Site.
1.2. By placing an order, you represent that you are at least 18 years old, have the legal capacity to enter into binding contracts, and accept these Terms & Conditions.

3. Products, Orders and Pricing

3.1. Product offerings, descriptions, pricing, and availability on the Site are subject to change without notice. We make reasonable efforts to display accurate product information. However, we do not guarantee that every description is error-free.
3.2. We reserve the right to refuse or cancel any order if there is a mistake in the price, product description, or availability. In such a case, we will notify you and issue a full refund if you were already charged.
 3.3. All prices are shown in U.S. dollars (USD) and exclude applicable taxes, duties, or shipping fees—unless otherwise specified.

4. Payment Terms

4.1. Payment must be made at the time of order placement via the payment methods offered on the Site.
4.2. We use trusted third-party payment processors (e.g., credit card networks, PayPal, Stripe). By providing payment information, you authorize us or our payment processor to charge the full amount.
4.3. If your payment method fails or is declined, we reserve the right to cancel your order.

5. Shipping and Delivery

5.1. Our Shipping Policy (linked here) applies and is considered part of these Terms.
5.2. Shipping and delivery dates are estimates only and are not guaranteed. We are not liable for delays due to events beyond our control (e.g., carrier delays, customs issues, natural disasters).
5.3. Once an order has shipped, you are responsible for tracking and receiving the parcel. We cannot redirect or modify addresses after dispatch.

6. Returns, Refunds & Damaged Items

6.1. Our Refund & Return Policy (linked here) governs returns, refunds, and claims for damaged or defective items.
6.2. To be eligible for a return or refund, you must comply with the conditions specified in that policy (unused, unopened, request within the required time frame, return authorization, etc.).
 6.3. We reserve the right to inspect returned items before approving refunds. Refunds, if approved, are issued to the original payment method within a reasonable processing period (generally 5–10 business days after receipt). Shipping costs are non-refundable except in cases where we shipped the wrong item or a defective product.

7. Intellectual Property & Content Use

7.1. All content on the Site — including text, images, logos, graphics, product descriptions — is the property of the Company or its licensors and is protected by U.S. and international intellectual property laws.
 7.2. You may view, copy or print content for personal, non-commercial use only. Any other use, modification, reproduction, distribution, or display without our prior written consent is prohibited.

8. Limitation of Liability & Disclaimers

8.1. To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential or punitive damages (including lost profits, loss of data, personal injury, or loss of business) arising out of or related to use of the Site or products purchased, even if we have been advised of the possibility of such damages.
8.2. Our liability for any claim arising under or relating to this Agreement or products sold is limited to the amount you paid for the specific product(s) giving rise to the claim.
8.3. We make no warranties beyond those expressly stated — all products are sold “as is” and “as available,” except where prohibited by applicable law.

9. Governing Law, Dispute Resolution & Severability

9.1. This Agreement and any dispute arising hereunder shall be governed by the laws of the State of California without regard to its conflict-of-law provisions.
9.2. If any provision of this Agreement is found invalid or unenforceable by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions remain enforceable.
 9.3. Any dispute, claim or controversy arising from or related to this Agreement shall be resolved in the state or federal courts located in Sacramento County ,California and you consent to the exclusive jurisdiction of such courts.

10. Modifications

We may update or revise these Terms & Conditions at any time. The “Last updated” date at the top will reflect changes. Continued use of the Site after updates constitutes your acceptance of the new Terms.

11. Additional Provisions

11.1 Force Majeure. We are not liable for delays or failures in performance caused by events beyond our reasonable control, including but not limited to natural disasters, acts of God, pandemics, war, governmental actions, telecommunication failures, labor disputes, or carrier issues.

11.2 Severability of Headings. Headings used in this Agreement are for convenience only and have no legal effect or interpretive value.

11.3 Entire Agreement. This document, together with our Shipping Policy and Refund & Return Policy (if applicable), constitutes the entire agreement between you and the Company relating to your purchase and supersedes all prior agreements.
